Natural Gas Services Group will change its state of incorporation from Colorado to Texas effective on or about July 20, 2026. Shareholders approved the redomestication at the company's annual meeting on June 10, 2026, with about 99% of the shares voted in favor.
NGS supplies natural gas and electric compression equipment to energy markets in Texas and other major producing states, and rents, designs, installs, services and maintains that equipment. The company is headquartered in Southlake, Texas, keeps an administrative office in Midland, Texas, and serves producers and processors across the Permian Basin, the Eagle Ford and other Texas basins. Chief executive Justin Jacobs said the company is "proud to call Texas home."
The change is a conversion: NGS will keep operating as Natural Gas Services Group, Inc., now incorporated in Texas instead of Colorado. Its common stock is expected to keep trading on the New York Stock Exchange under the ticker NGS, and shareholders do not need to take any action. The company said the redomestication will not change its business, operations, management, strategy, assets or office locations.
The move also ends NGS's staggered board. Once the redomestication takes effect, all directors will stand for election every year instead of serving staggered terms. The redomestication takes effect once NGS files the required conversion documents with the Secretaries of State of Texas and Colorado.
