ONE Nuclear Energy LLC has closed its previously announced business combination with Hennessy Capital Investment Corp. VII, a special purpose acquisition company, and its shares begin trading on the Nasdaq Global Market under the ticker ONEN on or about September 24, 2026. The combined company is now named ONE Nuclear Energy Inc., with ONE Nuclear operating as a direct, wholly-owned subsidiary of Hennessy VII.

Hennessy VII shareholders approved the deal at an extraordinary general meeting held on August 24, 2026. In connection with the closing, Hennessy VII completed its previously disclosed domestication as a Delaware corporation.

Richard Taylor, co-founder, chairman and chief executive officer of ONE Nuclear, said the company is now "well positioned to accelerate the development" of its combined natural gas and nuclear platform. He said the listing gives ONE Nuclear the capital access to move its Louisiana Portfolio forward at the pace the market demands, including meeting demand from AI and data center customers for reliable, baseload power.

Louisiana portfolio

ONE Nuclear pairs natural gas generation with advanced nuclear small modular reactor, or SMR, technology. SMRs are factory-built reactors smaller than a conventional nuclear plant, designed to be assembled on site rather than built from scratch. The Louisiana Portfolio holds three projects:

  • Project Amberjack: a standalone, scalable, multi-unit SMR campus targeting up to 1 GW of advanced nuclear generation capacity.
  • Project Cayman: a 2.88 GW natural gas plant paired with a 700 MW, 2.88 GWh battery energy storage system and a co-located, high-capacity data center campus.
  • Project Barracuda: a 1.2 GW natural gas plant with a 300 MW / 1,200 MWh battery storage system and a co-located 1 GW data center.

Advisors

Daniel J. Hennessy, chairman and chief executive officer of Hennessy VII, said the deal "positions ONE Nuclear to complete its growth plans" and to address the country's need for large-scale power.
