TotalEnergies' Board of Directors unanimously decided to keep Patrick Pouyanné as chairman and chief executive, and will propose renewing his mandate at the Shareholders' Meeting in May 2027, the company said following its annual strategic seminar held September 23 and 24, 2026.
The board also decided to keep the chairman and chief executive roles combined rather than split them, pointing to the company's governance structure and its Lead Independent Director role. It will propose renewing Jacques Aschenbroich's mandate as Lead Independent Director, a position he has held since May 2023, at the same May 2027 meeting.
At the seminar, the board reviewed TotalEnergies' strategic outlook and reaffirmed its two-pillar structure of Oil & Gas and Integrated Power. The company will present that outlook to investors on September 28, 2026.
Aschenbroich said Pouyanné, appointed chairman and chief executive in December 2015, has diversified the company's oil and gas supply sources, "particularly LNG," and pursued an energy transition strategy. The board also cited what it called high shareholder support, close to 98%, for a May 29, 2026 amendment to the statutory age limits for the chairman and chief executive role.
Pouyanné and Aschenbroich did not take part in board or committee deliberations on their own mandates, TotalEnergies said.
