Saipem said the waiting period under the US Hart-Scott-Rodino Antitrust Improvements Act of 1976 has expired for its proposed merger with Subsea 7 S.A., clearing the two companies to close the transaction in the United States. Saipem announced the expiration from Milan on July 31, 2026.
The merger still needs certain regulatory approvals outside the US before it can close.
Under the Hart-Scott-Rodino Act, US antitrust regulators review a proposed merger before it takes effect, and the deal cannot close until that waiting period ends.
Saipem describes itself as a global leader in engineering and construction for the energy and infrastructure sectors, both offshore and onshore. The company is organized into five business lines: Asset Based Services, Drilling and Sonsub, Energy Carriers, Offshore Wind, and Sustainable Infrastructures. It operates five fabrication yards and an offshore fleet of 17 owned construction vessels and 12 drilling rigs, nine of which it owns.
Saipem is listed on the Milan Stock Exchange. The company operates in more than 50 countries and employs about 30,000 people representing 125 nationalities.
